SZE: Regulation on the Operations of the Board of Directors

The Board of Directors (BOD) is the highest executive body of SZE, responsible for making decisions on strategic issues and managing the company. The operation regulation of the BOD specifies the functions, duties, powers, responsibilities, and working methods of its members.

According to the regulation, the BOD oversees the company’s production and business activities, proposes long-term policies, and checks the implementation of decisions made by the shareholder meeting. The BOD must meet at least quarterly and make important decisions through a voting process, requiring a minimum majority agreement from members present at the meeting.

The BOD will establish internal processes to ensure the company’s operations comply with legal regulations and good governance standards. The performance evaluation of BOD members is also conducted regularly to ensure that it meets the sustainable development requirements of SZE.
